Department profile
Corporate Loans is a unit within Credit Risk which is responsible for drafting, validating and signing of loan agreements, preparing, obtaining and checking of security documents (pledge agreements, assignment agreements, mortgage deeds, insurance policies, valuation reports etc.), preparing, signing and approving the documents related to syndicated loans (both banks & non-banks).
About the role
As a member of our Corporate Loans Department (CLD), you will primarily handle documentation and collateralization processes of the loans in coordination with internal/external legal counsels, where necessary and follow-up the enforcement processes in accordance with the bank’s policies, procedures, approved credit conditions and legal requirements.
Key responsibilities:
- Drafting of bilateral loan agreements, amendment agreements and restructuring agreements;
- Preparing and checking of LMA based syndicated loan documents (primary and secondary)
- Preparing and drafting of security collateral documents (pledge agreements, assignment agreements, mortgage deeds, insurance policies, valuation reports etc.) and checking the validity of the legal collateral documents;
- Cooperating with external law offices for the establishment and perfection of collaterals;
- Negotiating finance documents prior to their finalization and joining closing meetings, when necessary;
- Following-up of contractual covenants, drafting and sending of breach and EoD letters;
- Initiation and follow-up of the enforcement processes for NPEs in collaboration with external legal counsels;
- Preparing reports and memorandums on the legal and documentation issues with respect to credits when required;
- Participating in the bank’s project teams representing Corporate Loans;
- Following- up of project finance loans and project phases;
- Applying all credit practices in compliance with the regulatory and internal frameworks, policies, risk appetite and standards of the bank.
About you
The suitable candidate’s professional and personal characteristics include:
- Bachelor’s degree in Law;
- Minimum 5 years’ experience in loan documentation and collateralization processes in Credit Risk domain'
- Knowledge in credit risk related regulatory framework and restructuring process is an advantage.
Skills and abilities:
- Utilizing a combination of business, product, regulatory, legal and technical expertise to contribute to an effective credit risk and control environment.
- Ability to effectively work and communicate with colleagues across the organization, as well as good interpersonal and organizational skills are key to succeed.
- Hands on approach with solution-oriented mindset. Keen to take opportunities to develop and grow in the role.
- Ability to multi-task, work well under pressure with commitment to deliver under tight deadlines
- Excellent command of/highly proficient in spoken and written English. Knowledge of Dutch and Turkish is desirable.
